These Terms of Service (“Terms”) govern your access to and use of the FieldIQ platform and related services (the “Service”) operated by FieldIQ LLC (“FieldIQ”, “we”, “our”, or “us”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
FieldIQ LLC provides a software platform designed to help trade and field service businesses manage operational workflows, including job management, invoicing, and related business processes. The Service is provided as software tools only.
The platform may allow businesses using the Service to generate invoices and accept payments from their customers through integrations with third-party payment processors.
FieldIQ does not provide trade, construction, or field services and is not a party to agreements between businesses using the platform and their customers. Any services provided to customers by businesses using the Service are the sole responsibility of those businesses.
The features and functionality of the Service may change from time to time as the platform evolves.
These Terms apply to all users of the Service, including individuals and organizations that create accounts, use the platform to manage their operations, or make payments through invoices generated using the Service.
FieldIQ provides a software platform that enables trade and field service businesses (“Businesses”) to manage operational workflows, including job management, project tracking, customer records, invoicing, and related business activities.
The Service allows Businesses to generate invoices and accept payments from their customers through integrations with third-party payment processors. In certain cases, payments made by customers may be processed through the FieldIQ platform before funds are remitted to the applicable Business, including for the purpose of collecting platform fees.
Payment processing services are provided by third-party providers such as Stripe and are subject to the terms and conditions of those providers.
Businesses authorize FieldIQ to instruct payment processors to process payments, deduct applicable fees, and facilitate payouts in accordance with the operation of the Service.
FieldIQ may rely on third-party service providers to deliver portions of the Service, including infrastructure hosting, payment processing, communications services, and other technology services.
FieldIQ provides software tools that facilitate these activities but does not provide trade services, construction services, or other field services performed by Businesses. Businesses are solely responsible for the services they provide to their customers.
FieldIQ is not a party to agreements between Businesses and their customers.
The Service and its features may be updated, modified, or discontinued from time to time.
To access certain features of the Service, a Business must create an account.
Accounts are created on behalf of a business or organization. The individual creating the account represents they have authority to bind the Business.
A Business may authorize employees, contractors, or representatives (“Authorized Users”) to access the Service.
The Business is responsible for all activity conducted through its account.
Users must be at least 18 years old to create or use accounts.
Businesses are responsible for managing user roles and permissions.
Data created in the Service is associated with the Business account that created it.
FieldIQ may suspend or terminate accounts that violate these Terms or harm the Service.
Certain features of the Service may require payment of fees.
FieldIQ may charge transaction-based platform fees for payments processed through the Service.
Payment processor fees may also apply and are the responsibility of the Business.
When a customer pays an invoice through the platform, FieldIQ may deduct applicable platform fees and payment processing fees before remitting funds to the Business.
Businesses are responsible for chargebacks, disputes, refunds, and related costs.
FieldIQ may modify pricing at any time. Continued use of the Service constitutes acceptance of updated fees.
FieldIQ may hold or delay remittance of funds when reasonably necessary to investigate fraud, disputes, or compliance obligations.
FieldIQ may establish payout schedules, minimum payout thresholds, reserve requirements, or other remittance conditions.
FieldIQ acts solely as a payment facilitator and does not assume any fiduciary or trustee obligations with respect to funds processed through the Service.
Payment processing services used in connection with the Service are provided by third-party processors.
FieldIQ may route transactions through one or more payment processors.
FieldIQ is not a bank, financial institution, or money transmitter.
Businesses are responsible for complying with payment processor requirements, including identity verification and compliance obligations.
FieldIQ is not responsible for the availability or actions of third-party payment processors.
FieldIQ may suspend payment functionality where required by processors, financial institutions, or law.
Users must use the Service only for lawful purposes.
Users may not:
Businesses may not process transactions that violate payment processor policies or applicable financial regulations.
FieldIQ may remove content that violates these Terms.
FieldIQ may suspend or terminate accounts suspected of violations.
The Service, including the platform, software, designs, interfaces, and technology, is owned by FieldIQ or its licensors.
FieldIQ grants Businesses a limited, non-exclusive, non-transferable license to use the Service for internal business purposes.
Users may not:
Businesses retain ownership of data they submit to the Service.
Businesses grant FieldIQ a worldwide license to host, store, process, transmit, analyze, and display such data as necessary to operate, maintain, analyze, and improve the Service.
FieldIQ may freely use user feedback or suggestions.
The Service is provided on an “as is” and “as available” basis.
FieldIQ disclaims all warranties including merchantability and fitness for a particular purpose.
FieldIQ does not guarantee uninterrupted, secure, or error-free operation.
FieldIQ does not guarantee that the Service will meet the specific needs of any Business.
FieldIQ does not guarantee accuracy of invoices, payment records, or other data.
FieldIQ is not responsible for actions of businesses, customers, or third-party providers.
Businesses use the Service at their own risk.
FieldIQ will not be liable for indirect, incidental, consequential, or punitive damages including lost profits, revenue, or business opportunities.
FieldIQ’s total liability will not exceed the greater of:
These limitations apply regardless of legal theory.
Businesses agree to defend, indemnify, and hold harmless FieldIQ from claims arising from:
FieldIQ may assume control of the defense of any indemnified claim.
These obligations survive termination.
Businesses may stop using the Service by discontinuing access.
FieldIQ may suspend or terminate access at any time and for any reason.
FieldIQ may also terminate accounts when required by payment processors, financial institutions, or law.
FieldIQ will not be liable for damages resulting from termination of access to the Service.
FieldIQ may delete, retain, or anonymize account data following termination.
Certain provisions survive termination including liability limitations and indemnification.
These Terms are governed by the laws of the State of Colorado.
Any dispute arising from these Terms will be resolved through binding arbitration rather than court litigation, except for claims that may be brought in small claims court.
Arbitration will be conducted in accordance with applicable arbitration rules and will take place in Colorado unless otherwise required by law.
FieldIQ may update these Terms at any time.
FieldIQ may also modify or discontinue features of the Service.
Updated Terms become effective when posted.
Continued use of the Service constitutes acceptance of the updated Terms.
FieldIQ may require users to accept updated Terms before accessing the Service.
